These Terms and Conditions govern your use of TOCO, a brand and product of Newday Technologies (Pty) Ltd, a South African task marketplace connecting individuals and businesses with workers. By creating an account or posting a job, you agree to these terms.

By accessing or using TOCO ("the Platform"), you are entering into a legally binding agreement with Newday Technologies (Pty) Ltd, a company registered in the Republic of South Africa ("Newday Technologies", "we", "us", or "our"). TOCO is a brand and product of Newday Technologies (Pty) Ltd. If you do not agree to these terms, you may not use the Platform. We reserve the right to update these terms at any time, and continued use of the Platform constitutes acceptance of any changes.

You must be at least 18 years of age to use TOCO. By using the Platform, you confirm that you are of legal age and are legally capable of entering into binding contracts under South African law. Users representing a business confirm they have authority to bind that business to these terms.

TOCO is a digital marketplace platform operated by Newday Technologies (Pty) Ltd that connects individuals and businesses ("Posters") with workers ("Taskers"). Newday Technologies (Pty) Ltd does not employ workers, is not a party to any agreement between Posters and Taskers, and does not guarantee the quality, safety, or legality of services offered or requested. All transactions are conducted directly between users on a peer-to-peer basis. Newday Technologies (Pty) Ltd never holds, processes, or is responsible for any payments between users.

You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate and truthful information during registration. You may not impersonate any person or entity, or misrepresent your identity or qualifications. Newday Technologies (Pty) Ltd reserves the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or otherwise harm the Platform or its users. You are responsible for all activity that occurs under your account.

Posters are responsible for ensuring that job listings are accurate, lawful, and do not violate any applicable South African laws or regulations. Listings must not request illegal activities, discriminatory services, or content that violates TOCO's content guidelines. Taskers are responsible for accurately representing their skills, experience, and availability. Both parties must honour agreed terms once an application has been accepted. Newday Technologies (Pty) Ltd reserves the right to remove any listing that violates these terms without notice or refund.

TOCO operates on a peer-to-peer payment model. All payments for services are made directly between Posters and Taskers — Newday Technologies (Pty) Ltd does not hold, escrow, or process service payments. TOCO charges listing fees to Posters at the time of job posting, based on the job value tier selected. Listing fees are non-refundable once a listing is published. Business accounts are charged at the applicable business rate. Newday Technologies (Pty) Ltd is not responsible for any payment disputes, non-payment, or fraud that occurs between users.

Users agree not to: harass, threaten, or abuse other users; post false, misleading, or defamatory content; use the Platform for any unlawful purpose; attempt to circumvent the Platform by taking transactions off-TOCO to avoid fees; create multiple accounts to manipulate ratings or reviews; use automated systems or bots to interact with the Platform; or engage in any conduct that disrupts or damages the Platform. Violations may result in immediate account suspension.

TOCO's rating system is intended to reflect genuine experiences. Users must not manipulate ratings through fake accounts, coercion, or any dishonest means. Ratings and reviews must be honest and based on actual interactions. Newday Technologies (Pty) Ltd reserves the right to remove ratings that violate this policy. Disputes about ratings should be submitted through the Platform's dispute process.

TOCO provides a dispute mechanism to help users resolve issues. However, Newday Technologies (Pty) Ltd acts only as a facilitator and has no obligation to resolve disputes or compensate either party. Users are encouraged to resolve disputes directly and in good faith. Newday Technologies (Pty) Ltd's decision in any dispute process is final and made at its sole discretion. Newday Technologies (Pty) Ltd is not liable for any losses arising from disputes between users.

Newday Technologies (Pty) Ltd collects and processes personal information in accordance with the Protection of Personal Information Act (POPIA). By using the Platform, you consent to the collection and use of your data as described in our Privacy Policy. We use your information to provide and improve the Platform, facilitate matches between users, and communicate with you. We do not sell your personal information to third parties.

Taskers who offer services through TOCO are independent contractors and not employees, agents, partners, or joint venturers of Newday Technologies (Pty) Ltd. Nothing in these Terms and Conditions shall be construed to create an employment relationship, labour relationship, or any similar relationship between Newday Technologies (Pty) Ltd and any Tasker. Taskers are solely responsible for their own tax obligations, tools, equipment, working hours, and the manner in which services are performed. Newday Technologies (Pty) Ltd does not direct, supervise, or control the work of any Tasker. The relationship between a Poster and a Tasker is that of two independent parties contracting directly with one another. Newday Technologies (Pty) Ltd has no liability for any claim arising under the Labour Relations Act, Basic Conditions of Employment Act, or any other employment legislation in respect of any Tasker.

To the extent that the Consumer Protection Act 68 of 2008 ("CPA") applies to your use of TOCO, you may have rights that cannot be waived by contract. Nothing in these Terms and Conditions is intended to limit any right you may have under the CPA that cannot lawfully be excluded. However, to the fullest extent permitted by the CPA and any other applicable law, Newday Technologies (Pty) Ltd excludes all liability for indirect, consequential, or incidental loss arising from your use of the Platform or services arranged through it. Where the CPA applies and mandates a remedy, Newday Technologies (Pty) Ltd's liability shall be limited to the lesser of: (a) the fees paid to Newday Technologies (Pty) Ltd in connection with the relevant transaction; or (b) the cost of re-supplying the equivalent service. This clause does not exclude liability for gross negligence or wilful misconduct where such exclusion is prohibited by law.

TOCO is a digital marketplace only. Any in-person interactions, meetings, or services arranged through the Platform occur entirely outside of Newday Technologies (Pty) Ltd's control. Newday Technologies (Pty) Ltd makes no representations regarding the character, background, identity, criminal history, or intentions of any user. Newday Technologies (Pty) Ltd does not verify user identities or conduct background checks. Users engage with one another entirely at their own risk. We strongly recommend that users exercise caution when meeting strangers, conduct their own due diligence before accepting or offering services, meet in public places where possible, and inform a trusted person of any in-person arrangements. Newday Technologies (Pty) Ltd, its directors, shareholders, employees, and agents shall not be liable for any physical harm, injury, death, assault, theft, property damage, psychological harm, or any other loss or damage of any nature whatsoever arising from in-person interactions facilitated or arranged through the Platform, whether foreseeable or not. By using TOCO, you expressly acknowledge these risks and agree to hold Newday Technologies (Pty) Ltd harmless from any such claims.

To the fullest extent permitted by South African law, Newday Technologies (Pty) Ltd, its directors, shareholders, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any services arranged through it. This includes, without limitation, loss of income, loss of data, personal injury, death, property damage, psychological harm, or any loss arising from interactions — online or in-person — with other users. Newday Technologies (Pty) Ltd does not verify the identity, qualifications, criminal history, or background of any user. The Platform is provided "as is" and "as available" without any warranty of any kind. Your use of the Platform, and any reliance on information or users found through it, is entirely at your own risk.

Newday Technologies (Pty) Ltd may suspend or terminate your account at any time, with or without notice, for any violation of these terms or for any reason deemed necessary to protect the Platform and its users. You may delete your account at any time through your profile settings. Termination does not relieve you of any obligations arising before termination, including payment of any outstanding fees.

These Terms and Conditions constitute a binding agreement between you and Newday Technologies (Pty) Ltd and are governed by the laws of the Republic of South Africa. Any disputes arising from these terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of South Africa.
